Job Description: The Manager, Contracts is responsible for drafting new agreements and amendments to current contracts, facilitating contract negotiations, and tracking contract finalization and administration. [the_ad id="29344"] Job Responsibilities: Responsible for copyright filing, to include review of prior contracts for completion of proper filings. Consult with Sterling employees as needed to facilitate negotiations and contract finalization; advise internal personnel and third parties on contract detail queries; review redlined contracts with Sterling employees; and further negotiate with contracted parties as needed for nonbusiness terms. Update existing contract templates as needed, liaising with BN legal and publisher. Draft, log, and communicate amendments, changes, and expiration of contracts to applicable parties inside and outside of the organization. Review previous contracts done with other parties (i.e., agency or co-edition pre-existing templates) and determine whether new contract(s) will require updates. Draft agreements and amendments (author, agency, licensor, packager, co-edition, artist, illustrator) using Sterling boilerplates based on submitted deal memos or other specifications supplied, primarily for Sterling editorial groups and the art department. Assist with template work-for-hire contracts as needed. Detail orientated and awareness of legal issues, risk management, and accounting processes; maintain industry knowledge on the terms of publishing agreements including with authors, illustrators, photographers and other types of contributors. Track contract finalization process: shepherding signed contracts from finalizing with digital signature fields; countersigning; uploading countersigned, executed contracts to archives; and interfacing with royalty, publishing operations and finance departments as needed.
